Terms of Sale (ToS)

1. Purpose and scope

  1. These Terms of Sale govern the services offered by MarvinFm (website creation, SEO optimization, hosting, maintenance and related services).
  2. Any order implies full and unreserved acceptance of these Terms of Sale by the Client.
  3. These Terms of Sale prevail over any contradictory document from the Client, unless otherwise agreed in writing.

2. Quote, order and start

  1. Each service is subject to a quote specifying the scope, deliverables, estimated schedule and price excluding tax.
  2. The order is deemed firm upon receipt of the Client's written agreement (email accepted).
  3. Deadlines are provided for guidance only and may change depending on approvals, content delays or additional requests from the Client.

3. Pricing, invoicing and payments

  1. Prices are expressed in euros excluding tax (VAT not applicable, art. 293 B of the French General Tax Code / art. L. 223 of the CIBS).
  2. For website creation and one-off services, payment terms are specified on the quote.
  3. For hosting and maintenance, the subscription is billed according to the chosen payment method: automatic debit via Stripe (monthly or annual) when enabled, or another method agreed in the quote.
  4. Invoices are issued at each billing period and made available to the Client.
  5. In case of payment failure, the service may be suspended after a reminder that remains without effect.

4. Client obligations

  1. The Client provides accurate information and all necessary content (text, images, legal notices, technical access).
  2. The Client ensures they hold the necessary rights to the materials provided (copyright, licenses, trademarks, personal data).
  3. The Client approves deliverables within reasonable timeframes so as not to delay the project.

5. Hosting and maintenance

  1. Hosting includes provision of infrastructure, technical supervision and scheduled backups.
  2. The maintenance service includes technical updates and an allowance of 30 minutes per month for minor content changes. Beyond this allowance or for any new feature request, a supplementary quote will be submitted to the Client.
  3. Minor corrections cover only simple adjustments (text, image, link, light formatting) without structural redesign.
  4. The Provider cannot be held liable for interruptions caused by a third party (host, DNS, network, external service provider), but undertakes to intervene as promptly as possible.
  5. Cancellation is free of charge depending on the payment method: via the Stripe customer portal for Stripe subscriptions, or by written notice (contact page or email) in other cases. The request takes effect at the next billing period; to avoid renewal, it must be submitted before that period.

6. Intellectual property

  1. Intellectual property rights on deliverables are transferred to the Client after full payment of amounts due, except for third-party components subject to their own licenses.
  2. The Provider retains ownership of its methods, libraries, internal tools and reusable technical components.
  3. Unless the Client objects in writing, the Provider may mention the work in its portfolio for commercial reference purposes.

7. Liability and warranties

  1. The Provider is bound by an obligation of means and not of result, particularly regarding organic search engine optimization.
  2. The Provider cannot guarantee the performance of third-party services (search engines, external APIs, payment services, partner hosts).
  3. The Provider's liability, for all damages combined, is limited to the amount excluding tax actually paid by the Client for the service concerned over the last twelve months.
  4. The Client is solely responsible for the use of published content, the legal compliance of their notices and the management of their administrator access.

8. Personal data and confidentiality

  1. Personal data is processed in accordance with applicable regulations and the site's privacy policy.
  2. Each party undertakes to preserve the confidentiality of technical, commercial and strategic information exchanged during the assignment.
  3. The Client may consult the privacy policy at any time on the dedicated page.

9. Force majeure and suspension

  1. Neither party may be held liable for a failure due to a force majeure event within the meaning of French law and case law.
  2. In the event of a temporary impediment to performance, obligations are suspended for the duration of that impediment.

10. Applicable law and disputes

  1. These Terms of Sale are governed by French law.
  2. In case of dispute, the parties will first seek an amicable solution.
  3. Failing an amicable agreement, exclusive jurisdiction is assigned to the territorially competent French courts.
